CAPITAL GAIN TRUST

On September twenty-second, two thousand ten, before the Thirty-fifth Notary Public of Guayaquil, Attorney Roger Arosemena Benites, and registered in the Securities Market Registry on December fourteenth, two thousand ten, the Capital Gains Investment Trust was constituted, in which the company Inmobiliaria Terrabienes S.A., as Constituent, and ZION Administradora de Fondos y Fideicomisos S.A., as Trustee, appeared, Inmobiliaria Terrabienes S.A., as Constituent, and ZION Administradora de Fondos y Fideicomisos S.A., as Trustee, participated in the trust, which contemplates the possibility of the adhesion of adherent constituents. The purpose of the INVESTMENT TRUST is that of the assets contributed to the autonomous patrimony by its constituents be invested by its Trustee in accordance with the instructions given in said constitutive contract.
